It’s built for founders who want clear, visual answers to “what happens to my ownership if we do this round on these terms?” without living in a fragile spreadsheet.
What the Term Sheet Modeler does
Reads key economics from your term sheet (round size, pre/post‑money valuation, option pool, investor ownership, convertibles, etc.) using Mantle’s AI engine.
Builds a pro forma cap table that shows how founder, employee, and investor ownership changes under that term sheet.
Lets you adjust assumptions (like pool size or SAFE amounts) and instantly see the impact, instead of manually rebuilding formulas.

Getting access to the Term Sheet Modeler
If you do not see the Term Sheet Modeler button on your cap table page:
Email support@withmantle.com and mention that you'd like access to the Term Sheet Modeler.
The team will confirm eligibility based on your plan and enable it in your workspace.
How to use the Term Sheet Modeler
Open the Term Sheet Modeler
From the left-hand navigation bar, go to Cap Table.
Towards the top right corner, click on Term Sheet Modeler.
Upload or input your term sheet
Upload a term sheet document (PDF) for the upcoming round, or
Fill in the form with key terms.
View the pro forma cap table
Once all information has been uploaded, click on the Pro Forma tab at the top.
Mantle outputs a pro forma cap table that shows ownership after the round closes.
Review dilution and ownership
Review key metrics such as:
Founder ownership pre-round versus post-round
Employee/option pool percentage
Lead investor and other investors' stakes
Total dilution from SAFEs/notes plus the new round
Adjust assumptions and re-run
Go back to the Scenario tab to change inputs like round size, valuation, option pool size, etc.
