1. Offer overview. This offer ("the Offer") is available to eligible customers currently on an active Pulley subscription who migrate their cap table to Mantle Equity during the Offer Period defined below.

2. Eligibility. To qualify for the Offer, a customer must: (a) have an active, paid Pulley subscription as of November 30, 2026; (b) not be a current Mantle customer.

3. Discount

(a) Mantle. Upon verified sign-up, Mantle will issue a $100 discount to the customer's annual Mantle paid plan (the "Mantle Discount"). The Mantle Discount is a one-time reduction applied against the cost of the customer's first annual billing cycle and is not redeemable for cash, credited to future renewals, or applied on a pro-rated basis to monthly plans.

4. Migration timeline.

(a) Definitions.

(i) "Initial Cap Table Setup" means the process by which the customer uploads their current cap table spreadsheet and other required documentation into Mantle's data room, and Mantle imports the relevant information from that spreadsheet into a preliminary cap table. The timelines described in this Section 4 begin at the point the customer marks their submission as "Ready for Review" within the Mantle data room, not at the time of signup or initial upload.

(ii) "Full Cap Table Setup" means the completion of a comprehensive cap table build-out, including the upload and structuring of all securities (including but not limited to equity grants, SAFEs, convertible notes, and warrants), and the linking of all relevant supporting documents (including but not limited to grant agreements, board consents, and valuation reports) to their corresponding securities.

(b) Mantle will complete the Initial Cap Table Setup within one (1) business day of the customer uploading all requested documentation and marking their submission "Ready for Review" in the data room.

(c) Full Cap Table Setup, including historical grants, SAFEs, vesting schedules, and amendments, is expected to be completed within five (5) business days of the Initial Cap Table Setup for most cap tables.

(d) Customers with more complex cap tables, including but not limited to multiple financing rounds, secondary transactions, SPVs, or an extensive transaction history, may experience a longer build-out timeline. Mantle will communicate an estimated timeline directly to affected customers.

(e) Timelines described in this section are estimates and not guarantees. Mantle is not liable for delays caused by incomplete, inaccurate, or delayed information provided by the customer, including delays caused by the customer not marking their submission "Ready for Review" in a timely manner.

5. Offer period. The Offer is valid for signups and subscription activations completed between September 15, 2026 and December 8, 2026 ("the Offer Period"). Mantle reserves the right to extend, shorten, or modify the Offer Period at its sole discretion, with or without notice.

6. One offer per customer. The Offer is limited to one Discount per company/entity and may be redeemed only once. The Offer cannot be combined or stacked with any other Mantle promotional offer, discount, or credit, whether currently active or introduced in the future, unless explicitly stated otherwise by Mantle in writing.

8. Right to modify or terminate. Mantle reserves the right to modify, suspend, or terminate this Offer at any time, for any reason, without prior notice, including for customers who have not yet completed signup. Customers who have already signed up and received a Discount prior to any such modification will not be affected by subsequent changes to these terms.

9. General. This Offer is subject to Mantle's standard Terms of Use and Privacy Policy. In the event of a conflict between these Offer Terms and Mantle's standard Terms of Service, these Offer Terms will govern solely with respect to matters directly related to this Offer.
