The Company agrees to issue to the Subscriber, and the Subscriber agrees to subscribe for, 250,000 fully paid and non-assessable Class A Common Shares (the “Shares”) of the Company at a subscription price of $3.14 per share, for an aggregate subscription amount of $250,000. The Shares shall rank pari passu in all respects with the existing issued and outstanding Class A Common Shares of the Company and shall be subject to the rights, privileges, restrictions, and conditions set forth in the Company’s Articles of Incorporation.
